• Monthly services are billed in advance unless otherwise agreed in writing.
• One-time projects may require partial or full advance payment before work begins.
• Late payments may pause service delivery, reporting, optimization or support.
• Platform ad spend, third-party software fees, premium tools, paid plugins, themes, hosting and domain charges are separate unless clearly included in writing.

4. Client Responsibilities

To ensure smooth delivery, clients are expected to provide accurate information, timely approvals, required access and content inputs when requested.

• Website, hosting, analytics or ad account access must be shared securely.
• Clients are responsible for providing correct business, legal and service information.
• Content delays, approval delays or missing inputs may affect timelines and outcomes.
• Clients remain responsible for the claims, offers, documents, certifications and business materials they provide to us for publishing or promotional use.

5. Intellectual Property

Unless otherwise stated in writing, all original strategy documents, design layouts, ad copy drafts, content drafts, marketing frameworks, process documents and internal execution systems created by Sync SEO Ads remain the intellectual property of Sync SEO Ads / Sync Soft Solution until full payment has been received.

After full payment, final approved deliverables created specifically for the client may be used by the client for their business purpose, except where third-party licensing restrictions apply.

• Clients may not resell our work as their own service product without written permission.
• Drafts, samples, rejected concepts and unpaid work remain our property.
• Third-party fonts, images, tools, code libraries, plugins and software remain subject to their respective licenses.

6. Third-Party Platforms and Tools

Many services depend on third-party platforms such as Google, Meta, WordPress, hosting providers, analytics tools, CRM systems and ad networks. We do not own or control these third-party services.

• We are not responsible for platform outages, policy changes, account suspensions, rejected ads, algorithm changes or access issues caused by third parties.
• Performance can be influenced by factors outside our control, including market competition, platform changes and seasonal demand.
• Clients are responsible for complying with the policies of the platforms they use.

7. Results Disclaimer

We work to improve digital performance through professional strategy, execution and optimization. However, we do not guarantee fixed rankings, guaranteed sales, guaranteed leads, guaranteed approval on third-party platforms or guaranteed revenue outcomes unless explicitly agreed in a written performance-based contract.

SEO, paid ads, website performance and digital growth results depend on multiple factors, including your industry, market conditions, website quality, budget, competition, historical account performance, audience behaviour and timing.

8. Refunds, Cancellations and Service Pause

Refunds are generally not applicable for work already completed, hours already used, strategy already shared, consultations already delivered or third-party costs already incurred.

• Advance payments for one-time custom work may be non-refundable once the project has started.
• Monthly retainers may be cancelled based on the notice period agreed in the proposal or invoice terms.
• If a client becomes unresponsive for an extended period, the project may be paused until required communication resumes.
• In special cases, any partial refund decision will be made at our sole discretion based on scope completed and costs already incurred.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sync SEO Ads and Sync Soft Solution shall not be liable for any indirect, incidental, special or consequential damages arising from the use of our website, services, advice, campaigns, content, software integrations or third-party platform dependencies.

Our total liability, if any, shall be limited to the amount actually paid by the client for the specific service directly related to the claim.
